1. Agreement to Terms
By accessing or using Dropie (“Service”), operated by Dropie, Inc. (“Company,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, you may not access the Service.

Dropie provides an AI-powered document automation platform that helps businesses process, manage, and automate their document workflows. The Service includes:

3. Account Registration

6. Payment Terms
6.1 Subscription Fees
- Fees are based on your selected plan and usage
- All fees are non-refundable unless otherwise stated
- We may change fees with 30 days notice
- You are responsible for all applicable taxes
6.2 Billing
- Subscriptions renew automatically unless canceled
- We bill in advance for subscription periods
- Failed payments may result in service suspension

6.3 Free Trial

8. Service Level Agreement
8.1 Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible.

Support levels vary by plan. Enterprise customers may have separate support agreements.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DROPIE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO DROPIE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10. Indemnification
You agree to indemnify and hold harmless Dropie, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
11. Warranty Disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Termination
12.1 By You
You may terminate your account at any time through your account settings or by contacting support.
12.2 By Us
We may suspend or terminate your account for violations of these Terms or for any other reason with notice.
12.3 Effect of Termination
- Your right to use the Service ceases immediately
- We may delete your data after a retention period
- Provisions that should survive termination will remain in effect
- No refunds will be provided for partial subscription periods
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes constitutes acceptance.
14. Governing Law
These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
15. Dispute Resolution

We prefer to resolve disputes informally. Please contact us first to attempt resolution before pursuing formal proceedings.
15.2 Arbitration
Except where prohibited, disputes will be resolved through binding arbitration rather than in court. Class actions and class arbitrations are not permitted.
16. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Dropie
- Severability: If any provision is found invalid, the remaining provisions continue in effect
- Waiver: No waiver of any term shall be deemed a further waiver
- Assignment: You may not assign these Terms without our consent
- Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control
17. Export Compliance
You agree to comply with all applicable export and import laws and regulations. You may not use the Service if you are subject to U.S. sanctions or located in a prohibited country.
